1. Who We Are

BoatsFS ("BoatsFS," "we," "us," or "our") operates an online marketplace at boatsfs.com (the "Platform") that connects boat buyers with private sellers and dealerships ("Sellers"). BoatsFS is a venue, not a party to any sale — we do not own, inspect, warrant, or take title to any vessel listed on the Platform.

2. Acceptance of Terms

By creating an account, listing a boat, or otherwise using the Platform, you agree to these Terms of Service. If you do not agree, do not use the Platform.

3. Accounts

You must provide accurate information when creating an account and are responsible for activity under your credentials. Dealer accounts must accurately represent their business and hold any licenses required by their state to sell vessels.

4. Listings

Sellers are solely responsible for the accuracy of listing information, photos, pricing, and vessel condition. BoatsFS does not verify boat condition, title status, or seller representations unless a listing is explicitly marked as independently verified. Listing packages (Basic, Featured, Premium) and dealer subscription tiers are paid services described on our Pricing pages; fees are non-refundable once a listing is published or a billing period has started, except as required by law.

5. Dealer Memberships & Billing

Dealer memberships (Inshore, Offshore, Bluewater, Horizon) are billed on a recurring monthly basis through our payment processor, Stripe. Fleet is not a standard monthly plan: it is available on a manual, custom-arranged basis only. By subscribing, you authorize recurring charges to your payment method until you cancel.

What happens if your active inventory grows above your plan's limit is set out on each plan's page:

• Inshore: If your active inventory grows above 30 boats, you'll have a 7-day correction window. During that window, Inshore can temporarily hold up to 75 boats while you bring your inventory back to 30 or fewer. If your inventory remains above the Inshore limit, you'll need to move to Offshore.
• Offshore: If your active inventory grows above 75 boats, you'll have a 7-day correction window. During that window, Offshore can temporarily hold up to 200 boats while you bring your inventory back to 75 or fewer. If your inventory remains above the Offshore limit, you'll need to move to Bluewater.
• Bluewater: 200 active boats is the hard cap for Bluewater. If your active inventory grows above 200, you'll have a 7-day correction window to bring it back to 200 or fewer. At 201 or more boats, the Horizon plan is required.
• Horizon: Horizon has no automatic overage or forced upgrade — it's built to scale with large operations. If a dealership needs something beyond what Horizon offers, our Fleet program is available on a manual, custom-arranged basis only; it is never an automatic requirement. You may cancel at any time; cancellation takes effect at the end of the current billing period.

6. Prohibited Conduct

You may not: post fraudulent or materially misleading listings; list a vessel you do not own or have authority to sell; circumvent BoatsFS fees by directing users off-platform to avoid payment; scrape or harvest data from the Platform; or use the Platform for any unlawful purpose.

7. Buyer Responsibility

BoatsFS strongly recommends an independent marine survey and sea trial before purchasing any vessel. BoatsFS is not responsible for the condition, seaworthiness, title, or legality of any listed boat, and does not mediate, guarantee, or insure any transaction between buyers and sellers.

8. Intellectual Property

The BoatsFS name, logo, and Platform design are owned by BoatsFS. Sellers retain ownership of their listing content but grant BoatsFS a license to display, reproduce, and promote that content on the Platform and in marketing.

9. Disclaimers & Limitation of Liability

The Platform is provided "as is" without warranties of any kind. To the maximum extent permitted by law, BoatsFS is not liable for any indirect, incidental, or consequential damages arising from use of the Platform or any transaction facilitated through it.

10. Termination

We may suspend or terminate accounts that violate these Terms, engage in fraud, or misuse the Platform, with or without notice.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
